Article I: Name of Organization

PATHS  - Parents and Teachers Helping Students

 

 

Article II: Objective

1.     To promote the welfare of the children in the home, school, and the community.

2.     To improve and secure a more communicative relationship between school and home.

3.     To assist the educational system to raise educational standards and facilities of education.

4.     To offer supplemental enrichment to our children’s education through the public school structure.

 

 

Article III: Policy

1.     The organization shall be noncommercial, nonsectarian, and non-political in its function.

2.     The organization will cooperate with the Board of Education, teachers, and administrators in the education of our children.

3.     No officer of this organization may speak individually on behalf of the organization without the authorization of the executive committee.

 

 

Article IV: Membership and Dues

1.     Membership shall be made available to any parent or guardian with a child in GMMS, and any teacher or staff member of GMMS, who subscribed to the objectives of the organization.

2.     All members shall be eligible to participate in the business meetings or in elected or appointed positions.

3.     The annual dues shall be $5.00 per family, but said amount may be changed by a majority vote at any general meeting.

4.     The organization may be audited by a CPA according to state guidelines for charitable organizations.  The fiscal year will run from July 1st to June 30th each year.

Article V: Officers and Election

1.     Each officer shall be a member of the organization.

2.     Officers shall consist of:

a.     President

b.    Vice President

c.     Secretary

d.    Treasurer

3.     Officers shall be elected by majority vote at the April business meeting.

4.     Officers shall assume their duties at the May business meeting until the April business meeting of the following year.

5.     Nomination Process

a.     Nominations for officers shall be proposed at the March business meeting, by any member present, or communicated through an officer, if a nominee cannot be present.

b.    Nominations shall include at least one eligible person for each office. 

c.     Additional nominations may be made from the floor at the April business meeting.

6.     Vacancies

a.     Should a vacancy occur during the term of an officer, the officers shall have the authority to appoint a replacement, to be approved at the next business meeting, by a quorum.

b.    Presidential vacancies will be filled by the Vice President.

Article VI: Duties of the Officers

1.     The President shall preside at all meetings of the membership and executive committee.  The President shall coordinate the work of the officers and committees in order that the objectives of each be promoted.

2.     The Vice President shall act as an aid to the President and perform presidential duties in case of absence.  The Vice President shall investigate all fund raising and any material received for such.

3.     The Secretary shall record the minutes of all meetings of the membership and executive board and shall be responsible for all correspondence and/or communication in regard to the organization.

4.     The Treasurer shall have all the organization funds, keep a full and accurate account of receipts and expenditures and shall present financial statements at regular meetings.  The Treasurer shall make disbursements of no more than $100.00 unless have approval of the majority vote at a scheduled business meeting.  The Treasurer shall supervise the review of the books by an appointed PATHS member in the months of July and August.

 

 

Article VII: Meetings

1.     At least five meetings shall be held during the course of the school year.  All meetings to be held on school premises.

2.     The members present at any general meeting shall constitute a quorum.

3.     The election meeting will be held at the April business meeting.

 

 

Article VIII: Committees

1.     Only members of the organization shall be eligible to serve in any elected position or appointed position.

2.     The executive committee may create any such committee it feels necessary in order to promote the objectives of the organization.

3.     The Chairperson of any and all committees shall present a plan of action to the executive committee and report status of such committee.

4.     The President shall be a member of all committees.

Article IX: Amendments

1.     The By-Laws may be amended at any regular meeting by two-thirds vote of the members present.

2.     The By-Laws must be reviewed by the membership annually.

3.      A proposed amendment to the By-Laws shall be announced at a regular business meeting at least 30 days prior to the next business meeting at which the amendment will be voted on.

 

 

Article X: Organization Dissolution

The purposes for which this organization is organized are exclusively religious, charitable, scientific, literary and educational within the meaning of section 501(c)(3) of the Internal Revenue Code of 1986 or the corresponding provision of any future United States Internal Revenue law.

Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code of 1986, or corresponding section of any future Federal tax code, or shall be distributed to the Federal, state, or local government for a public purpose.  Any such assets not so disposed of shall be disposed of by a court of  competent jurisdiction of the county in which the principal office of the organization is then located, exclusively for such purposes.
